Please read these terms carefully before purchasing or using any AJT plugin. By installing or activating any plugin, you agree to be bound by these terms.

1. Definitions

Activation Limit
The maximum number of WordPress installations on which a single licence may be simultaneously active, as determined by the applicable Plan.
AJT / We / Us / Our
AJT Managed IT Services Limited, a limited company registered in England, whose registered address is Unit 3 Centenary Industrial Estate, Brighton, East Sussex, BN2 4AW, acting as the authorised distributor of the Plugins on behalf of the IP Owner.
Customer / You / Your
The individual, company, or entity that purchases a Licence or subscribes to a Plan.
Heartbeat
The periodic communication between the Plugin and our licensing server to verify licence validity and check for updates.
IP Owner
M & R Consultants UK Ltd, a limited company registered in England (company number 15072561), whose registered address is 1 Wilmington Parade, Brighton, England, BN1 8JJ. The IP Owner is the sole owner of all intellectual property rights in the Plugins.
Licence
The non-exclusive, non-transferable, revocable right to install and use a Plugin on the number of WordPress installations permitted by the applicable Plan.
Licence Key
The unique alphanumeric key issued to Customers on business, agency, or enterprise Plans to enable multi-site activation.
Plugin / Plugins
Any WordPress plugin developed by the IP Owner and distributed by AJT, including but not limited to AJT Stripe Integration Pro, AJT MSP Hub, AJT MFA, AJT Glass, AJT Backup, and AJT SMTP Pro.
Plan
The specific subscription tier selected by the Customer (e.g. Solo, Business, Agency, Enterprise), each with defined Activation Limits, features, and pricing.
Sentinel
The must-use WordPress plugin (ajt-sentinel.php) installed automatically by certain Plugins for licence compliance verification.
Trial Period
The initial period (currently 24 hours) during which a Plugin may be used without payment, beginning at first registration.

2. Intellectual Property

Ownership
All Plugins are the intellectual property of M & R Consultants UK Ltd. All intellectual property rights in and to the Plugins, including source code, object code, design, structure, algorithms, architecture, documentation, trademarks, trade names, and logos, are and shall remain the exclusive property of the IP Owner.
Authorised Distribution
AJT Managed IT Services Limited is the authorised distributor of the Plugins. AJT sells licences, processes payments, provides customer support, and operates the licensing infrastructure on behalf of the IP Owner. Your contractual relationship for the purchase and support of Plugins is with AJT.
Enforcement
The IP Owner reserves the right to enforce its intellectual property rights directly against any party that infringes those rights, including unauthorised redistribution, reverse engineering, or circumvention of the licensing mechanisms.

3. Licence Grant

Grant of Licence
Subject to these Terms and payment of the applicable fees, AJT grants You a non-exclusive, non-transferable, revocable licence to install, activate, and use the Plugin(s) on the number of WordPress installations permitted by Your Plan.
Nature of Licence
You acknowledge that You are purchasing a licence to use the Plugin, not the Plugin itself. All intellectual property rights in the Plugins remain the exclusive property of the IP Owner. The Plugins contain code licensed under GPLv2; however, distribution rights are proprietary and You may not redistribute the Plugin in any form.
Restrictions
You shall not:Redistribute, sublicense, sell, resell, lease, rent, or otherwise make the Plugin available to any third partyModify, adapt, translate, reverse engineer, decompile, or disassemble the Plugin, except to the extent expressly permitted by applicable lawRemove, alter, or obscure any copyright, trademark, or other proprietary noticesCircumvent, disable, or interfere with the licence verification mechanism, Heartbeat, Sentinel, or any other security featuresUse the Plugin on more WordPress installations than permitted by Your PlanShare, publish, or disclose Your Licence Key to any third partyUse the Plugin to develop a competing product or serviceRemove or disable the Sentinel must-use plugin

4. Plans and Activation Limits

Available Plans
Plugins are available under the following Plans:Solo - 1 site, no Licence Key, standard supportBusiness - 3 to 5 sites, Licence Key issued, standard supportAgency - 10+ sites, Licence Key issued, priority supportEnterprise - Unlimited sites, Licence Key issued, priority supportSpecific pricing, Activation Limits, and feature sets for each Plugin are published on our websites and may be updated from time to time.
Activation Counting
Only sites with a status of LIVE, TRIAL_ACTIVE, or TRIAL_LAPSED count towards Your Activation Limit. Deactivated or suspended sites do not count.

5. Trial Period

Trial Terms
Upon first registration, You are granted a Trial Period during which You may evaluate the Plugin at no cost. The current Trial Period is 24 hours from the moment of first activation. At the end of the Trial Period, if no payment has been received, Your licence status will change to TRIAL_LAPSED. Certain features may be restricted or unavailable in this state.
Continuing After Trial
To continue using the full Plugin, You must purchase a Plan. Upon payment, Your licence status will be upgraded to LIVE. AJT reserves the right to modify the length of the Trial Period or to discontinue trials at any time.

6. Fees and Payment

Pricing
The fees for each Plugin and Plan are as published on our websites at the time of purchase. All prices are exclusive of VAT unless otherwise stated.
Payment Processing
Payment is processed securely via Stripe. By making a purchase, You agree to Stripe's terms of service. For UK-registered organisations, all amounts are subject to VAT at the prevailing rate.
Price Changes
AJT reserves the right to revise pricing at any time. Price changes will apply to new purchases and renewals after the change takes effect. We will provide at least 30 days' notice of any price increase to existing subscribers.

7. Subscription, Renewal, and Cancellation

Automatic Renewal
Your Licence renews automatically at the end of each Licence Term (monthly or annual, as applicable) unless cancelled. Renewal will be charged at the then-current price for Your Plan.
Cancellation
You may cancel Your subscription at any time through the customer portal at ajt.support or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to the Plugin until the end of the paid period.
Refunds
We offer a 14-day refund period from the date of initial purchase. If You are not satisfied with the Plugin, You may request a full refund within 14 days of Your first payment. Refunds are not available for renewal payments or after the 14-day period. To request a refund, contact us at hello@ajt.support.
Effect of Cancellation
Upon cancellation or non-renewal:Your licence status will change to SUSPENDED at the end of the paid periodThe Plugin will remain installed but certain features may be restrictedYou will no longer receive UpdatesYour site registration will be retained for 12 months in case You wish to resubscribeAfter 12 months of inactivity, Your registration may be purged

8. Updates and Support

Updates
During an active Licence Term, You will receive all Updates to the Plugin(s) covered by Your Plan. Updates are delivered automatically through the WordPress update mechanism via our update server. AJT reserves the right to discontinue Updates for any Plugin at any time, in which case You will be notified and any prepaid fees will be refunded on a pro-rata basis.
Support Scope
Support is available to Customers with an active Licence via the in-plugin support ticket system. Support is provided on a reasonable-endeavours basis during Normal Business Hours (9:00 AM to 5:00 PM GMT, Monday to Friday, excluding UK public holidays). Support covers:Assistance with Plugin installation, configuration, and activationBug reports and troubleshootingGuidance on Plugin features and functionality
Support Exclusions
Support does not cover:Customisation, bespoke development, or modification of Plugin source codeIssues caused by third-party plugins, themes, or hosting environmentsIssues arising from modifications You have made to the PluginGeneral WordPress administration, server configuration, or Stripe/accounting platform support

9. Licence Verification and Compliance

Licence Verification
The Plugin periodically communicates with our licensing server (mattartley.online) to verify licence validity, refresh security tokens, and check for Updates. This communication (the Heartbeat) transmits the data described in our Privacy Policy. You agree not to block, intercept, or interfere with this communication.
Sentinel
Certain Plugins install a must-use WordPress plugin (the Sentinel) for licence compliance verification. The Sentinel performs local file integrity checks and verifies that the Plugin is running on the licensed domain. You acknowledge and agree to the installation of the Sentinel and shall not remove, disable, or interfere with it.
Offline Grace Period
If the Plugin is unable to communicate with our licensing server, a grace period applies. For plugins using the full Licence Module, this is approximately 10 days. For plugins using Licence Lite, this is 14 days. If communication is not restored within the grace period, certain features may be restricted.
Licence Status Lifecycle
Your licence status may transition through the following states:UNREGISTERED - Plugin installed but not yet registeredTRIAL_ACTIVE - Within the Trial Period, all features availableTRIAL_LAPSED - Trial Period expired, certain features restrictedLIVE - Active paid licence, all features availableSUSPENDED - Licence expired, cancelled, or suspendedDEACTIVATED - Licence permanently deactivated

10. Data Protection

Compliance
Both parties will comply with all applicable requirements of UK Data Protection Laws, including the UK GDPR and the Data Protection Act 2018.
Your Data Stays Yours
Where the Plugin processes personal data on Your WordPress site, You are the data controller and AJT is not a processor of that data. The Plugin operates locally on Your server and we do not have access to that data. You grant neither AJT nor the IP Owner any rights to Your data.

11. Limitation of Liability

Exclusions
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot lawfully be excluded.
Consequential Loss
Subject to the above, neither AJT nor the IP Owner shall be liable for loss of profits, revenue, business, anticipated savings, data, goodwill, reputation, or any indirect or consequential loss.
Aggregate Liability
The total aggregate liability of AJT and the IP Owner shall be limited to the total fees paid by You for the relevant Plugin during the 12 months preceding the date on which the claim arose.
No Warranty
Neither AJT nor the IP Owner warrants that the Plugin will be uninterrupted, error-free, or compatible with all third-party software, themes, or hosting environments. The Plugin is provided "as is" and "as available".

12. Indemnification

Your Indemnity
You agree to indemnify and hold harmless both AJT and the IP Owner from and against any claims, losses, damages, liabilities, and expenses arising from:Your breach of these TermsYour use of the Plugin in a manner not authorised by these TermsYour redistribution or unauthorised sharing of the Plugin or Licence KeyAny claim by a third party arising from Your use of the Plugin

13. Termination

Your Right to Terminate
You may terminate Your licence at any time by cancelling Your subscription through the customer portal or by contacting us.
Our Right to Terminate
AJT may suspend or terminate Your licence with immediate effect if:You breach any material term and fail to remedy within 14 days of noticeYou circumvent, disable, or interfere with the licence verification mechanismYou exceed Your Plan's Activation Limit and fail to rectify within 7 daysYou redistribute, sublicense, or share the Plugin or Licence KeyPayment fails and is not rectified within 14 days
Effect of Termination
Upon termination:Your licence to use the Plugin is immediately revokedYou must uninstall and delete all copies of the PluginAny outstanding fees become immediately due and payableClauses that by their nature should survive termination shall continue in force

14. Uninstallation and Data Removal

Clean Uninstall
All Plugins are designed to uninstall cleanly. When a Plugin is deleted through the WordPress admin interface, the Plugin will remove all data it created, including:Custom database tables created by the PluginPlugin-specific options and settings in the WordPress options tableUser metadata created by the PluginScheduled cron events registered by the PluginTransient data and cachesCustom user roles and capabilities added by the PluginFiles created by the Plugin in the uploads directoryThe Sentinel must-use plugin (if no other AJT Plugins remain active)
Data Retention Warning
Uninstalling a Plugin permanently deletes all associated data from Your WordPress installation. This action cannot be undone. You are responsible for backing up any data You wish to retain before uninstalling.
Deactivation vs Deletion
Deactivating a Plugin does not remove its data. Data is only removed upon full deletion through the WordPress Plugins screen. This is standard WordPress behaviour and allows You to temporarily disable a Plugin without losing Your configuration.

15. General Provisions

Confidentiality
Each party shall keep the other party's confidential information secret and shall not disclose it to any third party without prior written consent. Confidential information includes custom pricing, Licence Keys, API credentials, source code, and any information a reasonable business person would consider confidential.
Force Majeure
Neither party shall be liable for any failure or delay resulting from circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, internet or telecommunications failures, power outages, government actions, or pandemic. If such circumstances continue for more than 90 days, either party may terminate.
Entire Agreement
These Terms, together with the Privacy Policy and any Plan-specific terms published on our websites, constitute the entire agreement between the parties.
Governing Law
These Terms shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction.
Assignment
AJT and the IP Owner may assign or transfer any of their rights or obligations without Your consent. You may not assign or transfer Your rights without AJT's prior written consent.
Third Party Rights
Save for the IP Owner (who may enforce clauses relating to Intellectual Property, Limitation of Liability, Indemnification, and Termination directly), these Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999.
Dispute Resolution
If a dispute arises, the parties shall first attempt to resolve it through good-faith negotiation. If the dispute is not resolved within 30 days, either party may proceed with any available legal remedy.
